01 About These Terms
These Terms of Use ("Terms") govern your access to and use of the Gravlux Creative Lab website (the "Site") and any services we provide (the "Services"), including web design, web development, brand identity, e-commerce, FinTech platforms, UI/UX design, and custom systems development.
These Terms constitute a legally binding agreement between you ("Client" or "User") and Gravlux Creative Lab, a web design and development studio founded by Lewis Coogan, headquartered in Nairobi, Kenya ("Gravlux", "we", "us", or "our").
By using this Site or engaging our Services — whether verbally, by email, via a signed agreement, or by making a payment — you confirm you have read, understood, and agree to these Terms.
02 Use of This Website
You agree to use this Site only for lawful purposes and in a way that does not infringe the rights of others or restrict their use and enjoyment of it. Prohibited uses include:
- Transmitting unsolicited commercial communications (spam)
- Attempting to gain unauthorised access to any part of the Site or its servers
- Uploading or transmitting malicious code, viruses, or disruptive software
- Scraping, data mining, or harvesting content from this Site without written permission
- Reproducing or republishing any content from this Site without prior consent
- Using the Site for any fraudulent, abusive, or harmful purpose
We reserve the right to restrict, suspend, or terminate access to any user who breaches these Terms without prior notice.
03 Services Agreement
All project engagements begin with a discovery consultation. A formal project scope, timeline, and quote will be agreed upon before work commences. The agreed scope forms part of the contract between you and Gravlux Creative Lab.
Scope changes: Any additions, modifications, or expansions to the agreed project scope after work has commenced may incur additional costs and revised timelines. All scope changes must be agreed in writing.
Project timelines: Timelines stated in project proposals are estimates. Delays caused by the Client — including late delivery of content, feedback, or approvals — may extend timelines proportionally without penalty to Gravlux.
Revision rounds: Each package includes a specified number of revision rounds. Revisions beyond the agreed number will be quoted and billed separately. A "revision round" means one consolidated set of feedback, not multiple individual requests.
Important: Gravlux Creative Lab reserves the right to decline any project at its discretion, including projects that conflict with our values, require illegal content, or present an unreasonable scope without appropriate compensation.
04 Payment Terms
Payment structure for all projects:
- 50% deposit is required before any work commences. Work will not begin until this deposit is received.
- 50% final balance is due upon project completion and before the final deliverables or website is made live.
- For larger, phased projects, milestone-based payment schedules may be agreed in writing prior to commencement.

- Bank Transfer — NCBA Bank Kenya
- International Wire Transfer (details provided on request)
Late payments: Invoices unpaid beyond 14 days of the due date may incur a late fee of 5% per month on the outstanding balance. Gravlux reserves the right to suspend or withhold project deliverables, hosting credentials, or domain transfers until full payment is received.
Refund policy: Deposits are non-refundable once work has commenced. If a project is cancelled by the Client after work has begun, payment for completed work will be due at the pro-rated hourly rate applicable to the package.
05 Intellectual Property
Our content: All content on this Site — including text, graphics, logos, animations, code, and design — is the exclusive property of Gravlux Creative Lab or its licensors and is protected by Kenyan and international copyright law. Reproduction, redistribution, or use without express written permission is prohibited.
Your project deliverables: Upon receipt of full and final payment, ownership of the custom-designed website and its unique visual assets transfers to the Client. This transfer is limited to the final deliverables and does not include:
- Third-party libraries, frameworks, or plugins (e.g. React, GSAP, EmailJS) — these remain subject to their own licences
- Stock imagery, fonts, or icons licensed for the project — these are sublicensed to the Client per the original licence terms
- Gravlux's proprietary internal tools, templates, or code libraries used in the development process
Portfolio rights: Gravlux Creative Lab reserves the right to display completed work in its portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing before project commencement.
You warrant that any content, images, logos, or materials you provide to us for use in your project are either owned by you or that you have the necessary permissions and licences to use them. Gravlux accepts no liability for intellectual property infringements arising from Client-supplied materials.
06 Client Content & Responsibilities
The Client is responsible for:
- Providing all required content (text, images, logos, brand assets) in a timely manner as agreed at project commencement
- Reviewing and approving design mockups and development stages within the agreed timeframe (typically 5–7 business days per review stage)
- Ensuring all Client-supplied content is accurate, legal, and does not infringe the rights of third parties
- Maintaining backup copies of all project files and content provided to Gravlux
- Keeping login credentials, hosting access, and API keys secure after handover
Gravlux is not responsible for errors, omissions, or legal issues arising from Client-supplied content, including inaccurate business information, unlicensed imagery, or misleading copy.
07 Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the course of the project engagement. This includes — but is not limited to — business strategies, financial information, customer data, technical specifications, and proprietary processes.
This obligation of confidentiality survives the termination of any project agreement and remains in force for a period of three (3) years following project completion or termination.
Exceptions apply where disclosure is required by law, regulation, or court order — in which case the disclosing party will provide prompt notice where legally permitted.
08 Warranties & Disclaimers
Gravlux Creative Lab warrants that:
- Services will be performed with reasonable skill, care, and diligence
- Deliverables will substantially conform to the agreed project scope
- We hold the rights to any original content we create and deliver to you
We do not warrant that:
- The Site or any third-party integrations will be free of errors at all times
- Specific search engine rankings, traffic levels, or conversion rates will be achieved (SEO and performance outcomes depend on many factors outside our control)
- Third-party platforms, APIs, or services (e.g. EmailJS, Vercel, Cloudflare) will remain operational or maintain their current pricing
The Site and its content are provided "as is" without any express warranty of fitness for a particular purpose beyond what is explicitly stated in the project scope.
09 Limitation of Liability
To the maximum extent permitted by Kenyan law, Gravlux Creative Lab shall not be liable for:
- Indirect, incidental, consequential, or punitive damages arising from use of our services or website
- Loss of profit, revenue, business, data, or goodwill
- Damages resulting from third-party service outages, security breaches of third-party platforms, or force majeure events
- Losses arising from the Client's use, misuse, or modification of delivered work after project handover
In all cases, our total cumulative liability to any Client shall not exceed the total amount paid by that Client to Gravlux Creative Lab in the preceding twelve (12) months.
10 Termination
Either party may terminate a project engagement by providing written notice. In the event of termination:
- The Client is liable for payment of all work completed up to the date of termination, billed at the pro-rated project rate
- Gravlux will deliver all completed work to the Client upon receipt of final payment for work done
- Neither party will be entitled to compensation for anticipated future benefits from the terminated project
Gravlux may terminate a project immediately and without notice if the Client engages in conduct that is abusive, fraudulent, or in material breach of these Terms.
11 Privacy & Data
Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms part of these Terms by reference.
By submitting enquiry forms or review forms on this Site, you consent to the processing of your data as described in the Privacy Policy, including contact via email or WhatsApp in response to your submission.
12 Governing Law
These Terms of Use are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms or any project engagement shall first be attempted to be resolved amicably. If resolution cannot be reached within 30 days of written notice of a dispute, both parties agree to submit to the exclusive jurisdiction of the courts of Nairobi, Kenya.
For international clients, these Terms take precedence unless a separate jurisdiction clause has been agreed in writing as part of a formal project contract.
13 Amendments
Gravlux Creative Lab reserves the right to update these Terms of Use at any time. When changes are made, the "Last updated" date at the top of this page will be revised. Continued use of this Site or our Services following such changes constitutes your acceptance of the revised Terms.
For material changes affecting active project agreements, we will endeavour to notify affected Clients directly via the email address on file.
